TERMS OF SERVICE
These Terms of Service outline the rules and regulations for your use (hereinafter referred to as "Member") of the ITEM Marketplace (hereinafter referred to as the "Marketplace") operated by NEXUS Co., Ltd. (hereinafter referred to as the "Company"). By using the Marketplace services, you agree to these Terms of Service.
Article 1 (Eligibility for Service Use)
- 1.You must be of legal age (19 years or older) according to applicable law.
- 2.You warrant that the information you provide to the Company is accurate and up-to-date.
Article 2 (Account and Wallet Security)
- 1.You are solely responsible for maintaining the security of your account password and personal digital asset wallet (hereinafter referred to as "Wallet").
- 2.You must not share your password, Wallet private key, or seed phrase with any third party.
- 3.The Company shall not be liable for any damages resulting from account theft or leakage of Wallet information.
Article 3 (ITEM Transactions)
- 1.The Marketplace provides a platform service that allows Members to register, display, and trade ITEMs (NFT - Non-Fungible Tokens) with other Members.
- 2.When you purchase an ITEM on the Marketplace, you acquire ownership of the corresponding ITEM token. However, please note that this is generally separate from the copyright of the original work (images, videos, audio, etc.) associated with the ITEM. Carefully review the detailed description of each ITEM.
- 3.ITEM transactions on the Marketplace are recorded on the blockchain network and may be irreversible or difficult to cancel due to the nature of the transaction. Please make your purchase or sale decisions carefully.
- 4.You are responsible for paying any platform usage fees and blockchain network fees (gas fees, etc.) incurred during ITEM transactions. The fee rates are subject to change according to the Company's policy, and any changes will be notified through the Marketplace.
Article 4 (Prohibited Conduct)
In connection with your use of the Marketplace, you must not engage in any of the following activities:
- 1.Illegal activities: Engaging in activities that violate the laws of the Republic of Korea, such as fraud, money laundering, trading illegal content (pornography, illegal copies, etc.), or tax evasion.
- 2.Infringement of rights: Registering, posting, selling, or purchasing ITEMs that infringe upon the intellectual property rights and other rights of others, such as copyrights, trademarks, patents, and portrait rights.
- 3.Service disruption: Engaging in activities that disrupt the normal operation of the Marketplace or overload the system, distributing malicious code or viruses, or attempting to gain unauthorized access to other Members' accounts.
- 4.Price manipulation: Engaging in activities that artificially manipulate the market price of ITEMs or disseminate false information for unfair profit, or engaging in collusive transactions that harm fair trade practices.
- 5.Infringement of personal information: Collecting, using, or distributing the personal information of other Members without authorization.
- 6.Other inappropriate conduct: Engaging in activities that violate these Terms of Service or the operational policies and guidelines separately announced by the Company.
Article 5 (Role and Limitation of Liability of the Marketplace)
- 1.The Company provides a technical platform and related services for ITEM transactions between Members and does not provide any warranty regarding the value, legality, authenticity, quality, or completeness of the ITEMs themselves.
- 2.You are solely responsible for any losses or damages incurred due to fluctuations in the price of ITEMs.
- 3.The Company shall not be liable for transaction failures or asset losses resulting from technical problems with the blockchain network (errors, network delays, malfunctions, etc.).
- 4.The Company's principle is not to intervene in disputes between Members regarding ITEM transactions. However, the Company may take measures to resolve disputes exceptionally if deemed necessary at its discretion.
- 5.Unless specifically stipulated otherwise in applicable laws and regulations, the Company shall not be liable for any damages incurred by Members in connection with the use of the Marketplace services.
Article 6 (Measures upon Violation of Terms of Service)
If a Member violates these Terms of Service, the Company may take the following measures, individually or in combination:
- 1.Restriction on ITEM registration or transactions
- 2.Temporary or permanent suspension of Marketplace service use
- 3.Deletion or cancellation of the violating ITEM
- 4.Temporary or permanent suspension of the Member's account
- 5.Cooperation with legal authorities and related agencies
- 6.Other measures that the Company reasonably deems necessary
Article 7 (Changes to Terms of Service)
- 1.The Company may amend these Terms of Service when necessary due to operational needs of the Marketplace, changes in laws and regulations, or other reasonable grounds.
- 2.In the event of amendments, the Company will notify Members of the content and effective date of the revised Terms of Service at least 7 days prior to the effective date (or 30 days prior if the changes are unfavorable to Members) through announcements within the Marketplace or by contacting the Member via the provided contact information (e.g., email).
- 3.If a Member continues to use the Marketplace services after the effective date of the amended Terms of Service, it will be deemed that the Member has agreed to the amended Terms of Service.
- 4.If a Member does not agree to the amended Terms of Service, the Member may discontinue using the services and request withdrawal from membership.
Article 8 (Notice of Risk)
Investments in ITEMs and cryptocurrencies involve high price volatility and unexpected risks. You must fully understand these risks, and all investment decisions must be made based on your own careful judgment and responsibility. The Company shall not be liable for any investment losses incurred by Members.
Article 9 (Tax and Regulatory Compliance)
Members are solely responsible for complying with applicable tax laws and reporting obligations in their respective jurisdictions related to ITEM transactions. The Company does not provide any tax advice or file tax reports on behalf of Members.
Article 11 (Intellectual Property of the Platform)
All contents, trademarks, designs, software code, and other materials related to the Marketplace, excluding user-submitted ITEMs, are the intellectual property of the Company or its licensors. Unauthorized use, reproduction, or distribution is strictly prohibited.
Article 12 (Governing Law and Jurisdiction)
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Seoul Central District Court.
Article 13 (Force Majeure)
The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, governmental actions, or failure of telecommunications infrastructure.
Article 15 (Disclaimer of Warranties)
The Marketplace and its services are provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, regarding the Marketplace, ITEMs, or related services, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. The Company does not guarantee that the Marketplace will operate uninterrupted or error-free, or that it is free from viruses or other harmful components.
Article 16 (Limitation of Liability)
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:
- •your access to or use of or inability to access or use the Marketplace;
- •any conduct or content of any third party on the Marketplace;
- •any ITEMs or content obtained from the Marketplace;
- •unauthorized access, use, or alteration of your transmissions or content.
Article 17 (No Investment Advice)
The Company does not provide investment, financial, or legal advice in connection with the services. Any information provided through the Marketplace is for general informational purposes only and should not be considered professional advice. Members are solely responsible for making their own investment decisions and should consult with their own financial or legal advisors as needed.
Article 18 (Third-Party Services)
The Marketplace may contain links or access to third-party platforms, services, or smart contracts. The Company does not control, endorse, or assume any responsibility for such third-party content or services. You access and use them at your own risk.
